  2. “Font Data” means data that contains all or part of the glyphs of the Font and can display or output arbitrary text by mapping them to character codes or other identifiers, regardless of format, method of creation or whether the glyphs have been altered. It includes the files the Company provides as the Font.
  3. “Output” means printed matter, images, video, logos, drawings, screen displays and other works created using the Font. It does not include Font Data.
  4. “Document” means a PDF file, a word-processing, spreadsheet or presentation file, CAD or other design data, an electronic book, or any other file whose content is displayed or printed.
  5. “Product” means software, an electronic device or any other product.
  6. “Incorporation” means recording, bundling, building in or preinstalling Font Data in a Product as part of its functions.
  7. “End User” means a person who uses a Product into which the Font has been incorporated or who views its display, excluding persons who develop or manufacture that Product.

Article 3 (Permitted Use)

  1. The Company permits the User, whether an individual or a corporation and whether for commercial or non-commercial purposes, to do the following on condition that the User complies with this Agreement:
    • a. install the Font on terminals or other equipment for the User’s own use, including installation by a corporation or other organization on terminals under its control for business use by its officers, employees and the like;
    • b. use the installed Font from software to display, enter, edit, print and render text;
    • c. create, modify, use, publish, reproduce, distribute or sell Outputs, including modifying Outputs to make a logo;
    • d. embed Font Data in Documents in accordance with Article 4;
    • e. incorporate the Font into Products in accordance with Article 5;
    • f. make backup copies to the extent necessary for the uses above.
  2. No fee or other consideration is payable for the permission in the preceding paragraph.
  3. Outputs and Documents require no copyright notice, credit or usage report to the Company. However, incorporating the Font into a Product requires the notice under Article 5, paragraph 1, item b.
  4. Temporary loading, caching, format conversion and transfer to output devices that software or output devices ordinarily perform in the course of displaying or printing text constitute neither Incorporation, nor the creation of a font under Article 7, paragraph 1, item a, nor redistribution under item b of that paragraph.

Article 4 (Embedding in Documents)

  1. The User may embed Font Data in a Document created using the Font in order to display, print or edit that Document, regardless of the Document’s format.
  2. The User may reproduce, publish, distribute, transmit, provide or sell a Document in which Font Data has been embedded in accordance with the preceding paragraph.
  3. Extracting Font Data embedded in a Document for use outside that Document is not permitted.

Article 5 (Incorporation into Products)

  1. The User may incorporate the Font into a Product and distribute, sell or provide that Product only if all of the following conditions are met:
    • a. the Font is incorporated in such a way that End Users cannot easily obtain, install or use the Font Data outside the Product;
    • b. the name of the Font and the name of the rights holder (“Sensignal Co.,Ltd.” or “株式会社センシグナル”) are displayed where End Users can easily see them. Example: “Font: Telemetry (Sensignal Co.,Ltd.)”
  2. For the purpose of Incorporation, the User may do the following without altering the glyphs:
    • a. keep only the characters used in the Product (subsetting);
    • b. convert the Font Data to bitmaps at the sizes displayed in the Product.

Article 6 (Uses Requiring a Separate Agreement)

  1. Notwithstanding Articles 3 to 5, the following uses are not permitted under this Agreement and require a separate agreement with the Company:
    • a. use as a web font, meaning delivering Font Data from a server, CDN or other means to viewers’ terminals to display text on a website or web application, including delivery through CSS @font-face rules;
    • b. enabling third parties to render arbitrary text in the Font themselves through equipment or services managed by the User, in whatever form this is provided;
    • c. incorporating the Font into a Product without the notice under Article 5, paragraph 1, item b;
    • d. redistributing the Font as defined in Article 7, paragraph 1, item b.
  2. A separate agreement under the preceding paragraph is formed only when the Company and the User expressly agree to its terms in writing or in an electronic record containing text, such as email. An oral agreement, an inquiry, a request for a quotation or the start of negotiations alone does not form it.

Article 7 (Prohibited Acts)

  1. The User shall not:
    • a. create a font that contains all or part of the glyphs of the Font, by any method, including conversion from the Font, extraction or tracing of glyphs from Outputs, and combination with other fonts; this excludes reproducing the Font for uses permitted under this Agreement, subsetting or other conversion performed by software in the course of embedding under Article 4, and the processing under Article 5, paragraph 2;
    • b. redistribute the Font, meaning handing over, selling, lending or making available for download to third parties, whether for a fee or free of charge, the Font, a font that contains all or part of its glyphs, or a collection of the Font’s glyphs as images or outline data for individual characters arranged so that the characters can be freely combined; this excludes acts performed in accordance with Article 4, paragraph 2 and Article 5, paragraph 1, and redistribution permitted by a separate agreement under Article 6;
    • c. use the Font in Outputs, Documents, Products or services whose content is contrary to public order and morals.
  2. When a third party needs the Font, the third party must obtain the Font itself and use it under this Agreement, rather than receiving it from the User.

Article 8 (Ownership of Rights)

  1. The Font was created by the Company. Copyright and other intellectual property rights in the Font belong to the Company.
  2. This Agreement grants only the uses expressly stated in it and does not transfer any intellectual property rights in the Font.
  3. Rights held by the User or other rightful owners in Outputs, Documents and Products lawfully created under this Agreement are not transferred to the Company by this Agreement.

Article 9 (Conditions of Provision and Disclaimer)

  1. The Font is provided “as is”.
  2. The Company does not warrant the Font’s fitness for any particular purpose, the accuracy or completeness of display or printing results, compatibility with any particular software or hardware, freedom from defects, continuous operation, or continued availability in the future.
  3. The Company does not warrant that the Font complies with the technical standards, certification standards or safety requirements for aircraft, navigation equipment, medical devices, industrial control equipment, alarm devices or other safety-critical equipment or systems.
  4. The User shall verify the accuracy of display, legibility, compatibility with the operating environment and the necessary safety according to the purposes of the Products and systems in which the Font is used.
  5. The Company is not liable for any damage suffered by the User or any other person arising from the use of, or inability to use, the Font.
  6. Unless otherwise expressly agreed, the Company has no obligation to provide technical support, defect corrections, updates, additional features, support for Products into which the Font is incorporated, or continued availability of the Font.

Article 10 (Breach and Termination)

  1. If the User breaches this Agreement, this Agreement terminates at the time of the breach without notice from the Company.
  2. Upon termination of this Agreement, the User shall stop using the Font and delete the Font Data in its possession, except Font Data that must be retained by law and Font Data contained in Documents and Products that may continue to be used under the following paragraph.
  3. The User may continue to use, display and distribute, after termination, the Outputs and Documents it created in accordance with this Agreement before termination. Products provided to End Users before termination may continue to be used by those End Users.
  4. Termination of this Agreement does not affect the rights, obligations or claims for damages of the parties that arose before termination.

Article 11 (Severability)

If any provision of this Agreement is held invalid or unenforceable under law, the remaining provisions remain in effect.

Article 12 (Governing Law, Jurisdiction and Miscellaneous)

  1. This Agreement is governed by and construed in accordance with the laws of Japan.
  2. The Tokyo District Court or the Tokyo Summary Court, depending on the amount in controversy, has exclusive jurisdiction as the court of first instance over any dispute relating to this Agreement.
  3. The Japanese text of this Agreement is authoritative, and the English version is provided as a translation. In the event of any difference in interpretation or conflict between the Japanese and English versions, the Japanese version prevails.
  4. The Company’s failure to exercise a right under this Agreement immediately does not constitute a waiver of that right.
  5. If a separate agreement on the use of the Font is concluded between the Company and the User in writing or in an electronic record containing text, such as email, its provisions prevail over this Agreement with respect to the uses it covers.
